Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Incutech Labs LLC ("The Fit Filter," "we," "us," or "our"), governing your access to and use of the fitfilter.app website and The Fit Filter application (collectively, the "Service").

By creating an account, subscribing to the Service, or otherwise accessing or using the Service, you affirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

The Fit Filter is a subscription-based software-as-a-service (SaaS) platform designed to help real estate professionals, including agents, brokers, and coaches; identify energetically and professionally aligned clients, manage their client pipeline, and make informed decisions about who to work with. The Service includes, but is not limited to:

• Client discovery and filtering tools
• AI-assisted conversation and coaching interfaces
• Call logging and contact management features
• Analytics and reporting dashboards
• Account and team management capabilities

The Service is provided for professional productivity purposes only. The Fit Filter does not provide legal, financial, psychological, or real estate brokerage advice. Any guidance offered through the platform is informational and does not constitute professional advice.

3. Accounts & Registration

To access most features of the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at legal@fitfilter.app of any unauthorized access or security breach

You may not create accounts using automated means, share your account with others outside of your authorized subscription plan, or impersonate any person or entity. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Billing & Subscriptions

4.1 Subscription Plans

The Fit Filter is offered on a recurring subscription basis, billed monthly or annually as selected at the time of purchase. Subscription fees are charged in advance for the applicable billing period.

4.2 Free Trial

We may offer a free trial period at our discretion. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. Your payment method will be charged on the first day after the trial period concludes.

4.3 Automatic Renewal

All subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you will retain access through the period already paid for.

4.4 Refunds

Subscription fees are non-refundable except as required by applicable law or as expressly provided in our refund policy. If you believe a charge was made in error, please contact us within 30 days of the charge at legal@fitfilter.app.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.6 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for amounts owed. You agree to Stripe's terms of service and privacy policy in addition to these Terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Harass, threaten, defame, or otherwise harm any person
• Post or transmit any content that is illegal, fraudulent, misleading, or abusive
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity, security, or availability of the Service
• Scrape, crawl, or systematically extract data from the Service without our written consent
• Use the Service to transmit unsolicited commercial communications (spam)
• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service
• Use the Service for any purpose that competes with The Fit Filter without our prior written consent

We reserve the right to investigate and, where appropriate, suspend or terminate access to the Service for any user who we believe has violated these Terms or engaged in conduct that is harmful to other users, us, or third parties.

6. Intellectual Property

6.1 Our Property

The Service, including all software, algorithms, designs, text, graphics, logos, and other content developed by The Fit Filter, is owned by Incutech Labs LLC and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in or to the Service except for a limited, non-exclusive, non-transferable license to use the Service for your own professional purposes during the term of your subscription.

6.2 Your Content

You retain ownership of any data, text, or content you upload or create within the Service ("User Content"). By submitting User Content, you grant The Fit Filter a limited, worldwide, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Service to you. We do not sell your User Content to third parties.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve our products and services without any obligation to compensate you.

7. Your Data

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect information about you and your use of the Service. By using the Service, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that any personal data you enter about third parties (such as clients or prospects) is handled in compliance with applicable privacy laws, including obtaining any required consents.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WHILE WE STRIVE TO PROVIDE ACCURATE AND HELPFUL TOOLS, THE FIT FILTER DOES NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES. RESULTS WILL VARY BASED ON INDIVIDUAL EFFORT, MARKET CONDITIONS, AND FACTORS OUTSIDE OUR CONTROL.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCUTECH LABS LLC AND ITS OFFICERS, EMPLOYEES, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Termination

Either party may terminate the relationship governed by these Terms at any time. You may cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• You engage in conduct that we determine, in our sole discretion, is harmful to other users or to us
• We are required to do so by law
• We discontinue the Service

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Travis County, Texas for resolution of any dispute arising from these Terms or your use of the Service.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

We encourage you to review these Terms periodically. The "Effective" date at the top of this page indicates when these Terms were last updated.
